1. Overview

These Terms & Conditions (hereinafter “T&C”) govern your use of the website and the purchase of products from Zero Cooldown (“we,” “us,” or “our”). By using our website or placing an Order, you agree to be bound by these terms. These T&C apply to consumer transactions (purchases by individuals for personal use) under the Quebec Consumer Protection Act (CPA). Business-to-business transactions may be subject to separate terms. Please take the necessary time at your local inn with your favorite beverage to read this agreement carefully before using our services.

Zero Cooldown operates the “Zero-Cooldown” website and online boutique at https://zero-cooldown.com/real-boutique/, offering products as the Vendor to you, the Customer. These T&C govern all orders placed through the online store and are binding on Zero Cooldown.

2. Definitions

In these T&C, the following terms have the meanings below:

  • “T&C”: These Terms & Conditions.
  • “Customer”: You, the individual making a purchase from the online boutique for personal use.
  • “Order”: The purchase of products by a Customer through the online boutique.
  • “My Account”: The dedicated space for each Customer, accessible from the online boutique.
  • “Shopping Cart”: The collection of products selected by a Customer in a single purchase transaction.
  • “Service”: Free offerings (e.g., website, news content) and paid offerings (e.g., products) provided by Zero Cooldown.
  • “Product”: Tangible products (e.g., books, tabletop games, accessories) and intangible products (e.g., E-books, digital designs, documents) offered for sale by Zero Cooldown.
  • “Vendor”: Zero Cooldown, the entity operating the online store.

3. User Representations and Responsibilities

By agreeing to these T&C, you represent that:

  • You are of the age of majority in your province or territory of residence (19 in Quebec for certain contracts), or
  • You are of the age of majority and have given consent for any minor dependents to use this site under your supervision.

You may not use our products for illegal or unauthorized purposes, such as reselling without permission, violating license terms for digital products, or infringing copyright laws. You agree to comply with all applicable laws in your jurisdiction while using the Service.

4. General Conditions

We reserve the right to refuse service to any Customer for reasons permitted by law, such as suspected fraud, violation of these T&C, or non-payment, provided such refusal does not contravene the Quebec Consumer Protection Act or anti-discrimination laws. Refusals will be documented and justified to ensure compliance.

You agree not to reproduce, duplicate, copy, sell, resell, or exploit any part of the Service, including website content or products, without our express written permission.

5. Subject

These T&C govern the use of the website and all transactions between Zero Cooldown (Vendor) and you (Customer) via the online store at https://zero-cooldown.com/boutique/. Sales made outside the online store (e.g., in-person or through third-party platforms) are not covered by these T&C.

6. Acceptance of T&C

By using our Services or paying for an Order, you confirm that you have read and accepted these T&C without reservation. Acceptance is required at the time of placing an Order, typically by checking a box during checkout. Key terms, including your rights to returns, refunds, and warranties under the Quebec Consumer Protection Act, are summarized at checkout for clarity. The T&C are available on all web pages of the online store, and you are encouraged to download, print, or retain a copy for your records.

7. Product Characteristics

We strive to present our products accurately, in compliance with the Quebec Consumer Protection Act (CPA Section 219). Product descriptions include material characteristics, such as size, materials, and, for digital products, file formats, system requirements, and usage restrictions (e.g., license terms). If you have questions about a product’s characteristics, contact us at Zero-Cooldown@pm.me before ordering.

You are responsible for selecting products during the purchase process. We may modify the product catalog at any time, but this will not affect existing Orders. All products comply with Canadian and Quebec legislation and standards unless otherwise stated.

8. Product Availability

We offer only available products on the online store and promptly remove offers for unavailable products. Product offers and prices are valid as long as they are visible, subject to available stock. Availability is indicated at the time of ordering. In rare cases, simultaneous orders or stock errors may result in unavailability. If a product becomes unavailable after you place an Order, we will notify you promptly and offer:

  • The option to wait for the product to become available, or
  • A full refund of the amount paid within 30 days, as required by the CPA.

We are not liable for stock errors beyond providing these options.

9. Purchasing Process

Orders are placed via the online store as follows:

  • Product Selection: Select desired products and quantities by clicking “Add to Cart.” Products are added to your Shopping Cart. You may continue shopping by clicking “Continue Shopping” or proceed to checkout via the shopping cart icon.
  • Order Validation: Review your Order details, total price (including taxes and shipping), and correct any errors before clicking “Validate Cart.” You may enter a discount code and provide delivery and billing details. You must accept these T&C by checking a box. You may cancel or modify your Order before payment confirmation.
  • Payment: Pay securely online by following the instructions, selecting a payment method, and providing necessary billing and delivery information. By placing an Order, you acknowledge your obligation to pay.
  • Order Confirmation: We will acknowledge receipt of your Order electronically via email (if the provided email is correct) or online. Confirmation is considered received when accessible to both parties. The order form and acknowledgment are not invoices; invoices are available upon request in the “My Account” area.

10. Prices

Prices are displayed in United States dollars (USD) by default, with automatic conversion to local currencies (including Canadian dollars [CAD] for Quebec customers) based on your locality at checkout, in accordance with Quebec’s Price Accuracy Policy (CPA Section 224). Applicable taxes, delivery charges, and any currency conversion fees are shown in the local currency before you validate your Order. The final price, including all fees, is binding and displayed at checkout. For Quebec customers, the final price in CAD, including taxes, is confirmed before payment, as required by CPA Section 54.4. For price reductions, we disclose the lowest price charged in the 30 days prior to the reduction, per CPA Section 230.1.

Delivery charges are calculated based on the Shopping Cart’s total after discounts (e.g., loyalty rewards, promotional codes) and are shown before validation.

For international shipments (outside Canada), you are the importer of record. Prices are calculated excluding Quebec VAT, and you are responsible for any customs duties, import taxes, or local taxes, which will be clearly disclosed during checkout. Currency conversion fees, if applicable, are your responsibility and will be indicated by your payment provider.

11. Payment Methods

You may pay using the payment methods offered at checkout (e.g., credit card, digital wallets). Payments are processed securely, and if a payment is rejected, the Order will be canceled. We do not offer installment or deferred payment options unless specified. Payment processing complies with Personal Information Protection and Electronic Documents Act (PIPEDA) security standards.

12. Customer’s Choice and Agreement on Payment Method

You have the final choice in selecting the payment method for your purchase. By selecting and confirming a payment method at checkout, you agree to pay the full amount for the ordered products or services before delivery, as required by the CPA. Non-payment or payment disputes do not relieve you of your payment obligation for valid Orders, except in cases of defective or non-conforming products (per CPA Sections 37–39). We are committed to delivering paid products or services as per these T&C, provided payment is successfully processed.

13. Product Delivery

Product delivery is governed by our Shipping Policy (click here). The Shipping Policy specifies delivery methods, estimated timelines, and costs, as required by CPA Section 54.7. Delivery timelines are provided at checkout, and we aim to meet these timelines barring unforeseen circumstances.

14. Return and Refund

Returns, refunds, and your right to cancel are governed by our Return and Refund Policy (click here). Under the Quebec Consumer Protection Act (CPA Section 54.9), you may cancel a distance contract within 7 days of receiving a physical product, provided it is unused and in its original condition, unless otherwise stated in the policy.

For digital products (e.g., e-books, digital documents), you waive the 7-day cancellation right by expressly consenting to immediate download at checkout and acknowledging that starting the download voids this right, as permitted by CPA Section 54.9. Refunds for digital products are available only if the product is defective or does not conform to the description (e.g., cannot be accessed or is incomplete), per CPA Sections 37–39. You must provide evidence of the defect (e.g., error messages or screenshots) to process a refund, and we will verify claims within 10 business days. Defective or non-conforming products (physical or digital) are eligible for remedies (repair, replacement, or refund) under CPA Sections 37–39.

15. Processing of Complaints

Complaints about products or services should be directed to us at Zero-Cooldown@pm.me. We will respond within 10 business days. If your complaint is unresolved, you may contact the Office de la protection du consommateur (OPC) at http://www.opc.gouv.qc.ca or pursue mediation (see Section 24).

16. Warranties

In addition to any commercial warranties we may offer, all products are covered by legal warranties under the Quebec Consumer Protection Act (CPA Sections 37–39). Products must:

  • Be fit for their intended purpose for a reasonable period based on their price and nature.
  • Conform to the description provided at purchase.
  • Be free of hidden defects (latent defects) that render them unfit for use.

If a product is defective or non-conforming, you may request repair, replacement, or a refund, as per CPA requirements. Contact us at Zero-Cooldown@pm.me to exercise your warranty rights. Commercial warranties, if offered, are detailed in the product description and do not limit your legal warranty rights.

17. Liability

We are not liable for non-performance or improper performance of our obligations due to your errors (e.g., incorrect order details) or events beyond our control (see Section 18). However, we remain liable for our negligence or breaches of CPA obligations, such as delivering defective products or failing to honor warranties. To maximize our protection, we reserve the right to cancel Orders for suspected fraud or non-compliance with these T&C, with prompt notification and refund where applicable.

18. Force Majeure

We are not responsible for delays or non-performance due to force majeure events, as recognized by Canadian courts (e.g., natural disasters, strikes, or government actions).

19. Personal Information

Your personal information is collected, processed, and retained via our e-commerce platform (WooCommerce/WooExpress) for purposes such as order fulfillment, account management, customer support, and legal compliance (e.g., tax record-keeping). Data retention complies with Personal Information Protection and Electronic Documents Act (PIPEDA) and Quebec’s Act respecting the protection of personal information in the private sector (Law 25). We retain only the data necessary for these purposes (e.g., name, address, email, order details) and share it with third-party providers (e.g., payment processors, shipping services) only as required for order processing. 20. Reliability of Information

To prevent fraud, we may verify payment information through our payment service providers, which may temporarily delay your Order. If we cannot verify the information, the Order will not be confirmed. Data verification complies with PIPEDA, and details are provided in our Privacy Policy.

21. Third-Party Links

Our online store may include links to third-party websites. We are not responsible for the content, accuracy, or services of these websites and make no warranties regarding them.

22. Modifications

We may modify these T&C at any time. The T&C in effect at the time of your Order apply, and new T&C will not affect existing Orders. You should review the T&C for each new Order to account for any changes.

23. Nullity

If any provision of these T&C is deemed invalid by a law, regulation, or court decision, the remaining provisions remain in effect. Ambiguities in these T&C will not be construed against the drafting party.

24. Governing Law

These T&C are governed by the laws of Canada and Quebec. For disputes, contact us first for an amicable resolution. If unresolved, you may:

Seek remedies through Quebec courts, as permitted by the CPA.

Pursue mediation within one year of your written complaint via a mediator at https://imaq.org/mediation-et-arbitrage/.
